Ora gira anche la voce di una fusione Brown Forman-Bacardi perché hanno paura di essere comprate da Pernod e Diageo.

Suntory Holdings Ltd., the Japanese whiskey and soft-drinks company controlled by billionaire Nobutada Saji, offered to buy out the entire Whyte & Mackay business from United Spirits Ltd. (UNSP), CNBC TV18 reported today, citing people it didn’t identify.

The Osaka-based company, which last week said it’s buying U.S. distiller Beam Inc. in its largest deal ever, has valued Whyte & Mackay at less than $1 billion, the channel reported.

Diageo Plc. (DGE), the world’s biggest distiller, acquired Whyte & Mackay, which makes Scotch whisky including Jura and The Dalmore, when it bought India’s United Spirits last year for a foothold in emerging markets. Diageo said Nov. 25 that it has offered to sell most of Whyte & Mackay to assuage concerns expressed by the U.K. Office of Fair Trading that the acquisition could potentially lead to higher prices in the U.K. for blended whisky.

“It makes sense for Suntory to bid for Whyte & Mackay for its distillation capacity,” said Abhijeet Kundu, a Mumbai-based analyst at Antique Stock Broking Ltd. “Jim Beam gives them a U.S. presence and this would give them a U.K. presence.”

Kundu said that the Whyte & Mackay assets being sold by Diageo and United Spirits could be valued at about $750 million.

Suntory, which sells Orangina soda and Boss-brand canned coffee, on Jan. 13 agreed to pay $16 billion to buy Beam Inc., to gain brands such as Maker’s Mark whiskey and create the world’s third-largest premium spirits company.

niente acquisto di White & Macay da parte di Suntory, tutte speculazioni. Saranno altri a prendere Isle of Jura ed il resto.
Chissà se vedremo David al visitor centre a Bowmore?

Beam Shareholders To Vote March 25 on Suntory Deal, Suntory To Inherit Michael Collins Lawsuit

February 20, 2014 – Beam Inc. shareholders will vote March 25 on whether to accept Suntory’s $16 billion offer for all outstanding shares of the largest US-based drinks company. Shareholders will receive $83.50 per share in the deal, which has already been approved by directors of both companies. Suntory will pay $13.6 billion in cash and assume Beam’s outstanding debt. Assuming all regulatory approvals are received, the deal will close in April and create the world’s third-largest spirits company.

Beam’s largest shareholder, activist investor William Ackman and his Pershing Square hedge fund, has already started locking in his profits from the deal. Pershing Square’s latest filing with the Securities & Exchange Commission shows the hedge fund has sold 1,850,000 shares of Beam this month for an average price of $83.27 per share, bringing in around $154 million. Ackman’s firm now holds about 7.1% of Beam’s outstanding shares, down from 8.3% on January 31 and approximately 13% when the Suntory deal was announced on January 13. Ackman was largely responsible for pressuring Fortune Brands to break up into three separate companies in 2011, with Beam Inc. becoming a standalone spirits company.

However, one issue Beam had hoped to resolve before the sale will become Suntory’s responsibility. A New York federal judge has rejected Beam’s motion to dismiss a $100 million lawsuit filed last March by Sidney Frank Importing Company. The suit charges Beam broke its contract with Sidney Frank to supply bulk whiskey from Ireland’s Cooley Distillery for use in Sidney Frank’s Michael Collins Irish Whiskey. Beam inherited the contract when it acquired Cooley at the end of 2011, but decided to stop selling bulk whiskey to independent bottlers in order to make more whiskey available for Kilbeggan and the other former Cooley brands included in the sale.

At the time, Beam executives said they would continue to supply whiskey to customers with long-term contracts. Sidney Frank claims it had one of those contracts, but the judge rejected Beam’s claim that there was no contract in place after December 31, 2007. The judge also allowed Sidney Frank’s claim that Beam illegally interfered with its business by telling distributors that the Michael Collins brand would be going away. Beam spokesmen told Law360.com that the company will continue to fight what they called a “baseless lawsuit,” while Sidney Frank spokesmen declined to comment. No trial date has been set.

Suntory Holdings’ US$16bn acquisition of Beam Inc has moved a step closer after being given regulatory approval by US authorities.

Beam said today (5 March) that the US Federal Trade Commission (FTC) has granted “early termination” over a waiting period to review the tie-up. Under the Hart-Scott- Rodino Act in the US, companies must file details of a merger and get approval from the FTC and Department of Justice.

“This is another important step towards completing the acquisition of Beam for $83.50 per share, and the transaction remains on track to close in April,” said Matt Shattock, Beam’s president & CEO.

However, the deal still needs regulatory clearance in the European Union and approval from Beam shareholders. The spirits firm's stockholders are due to vote on the deal at a special meeting on March 25.

Beam is also facing legal action from shareholders over the deal, first announced in January, involving allegations of misconduct in its handling of the process.

The company denies all the claims.

Upon completion of the transaction, each share of Beam common stock will convert into the right to receive $83.50 in cash (subject to applicable withholding taxes).

“Shareholder approval of the acquisition by Suntory is a reflection of the substantial value created for our investors over the past several years, culminating in this transaction,” said Matt Shattock, president and chief executive officer of Beam Inc. “We appreciate the confidence Beam shareholders have placed in our company over the years, and we’re pleased that confidence is being rewarded. Indeed, at the acquisition price of $83.50 per share, total shareholder return will stand at 106% since Beam began trading as a standalone spirits company in October of 2011. We look forward to joining with the spirits business of Suntory to create the world’s #3 premium spirits company, and to capitalize on the significant opportunities for our combined portfolio, routes to market, and innovation capabilities.”

The transaction remains subject to regulatory clearance in the European Union and customary closing conditions, and the companies expect the acquisition will most likely be completed during the week of April 28th.
